Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") are a binding agreement between you and ClickSabi Inc. ("ClickSabi Inc.", "we", "us"), operator of the ClickSabi platform ("ClickSabi", the "Service"). By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you confirm that you have authority to bind that organization, and "you" includes that organization.

2. The ClickSabi Service

ClickSabi is a software platform that supports the solar customer relationship. It provides software, information, analysis and workflow tools for people buying and managing solar, and for solar providers running their businesses. The Service includes two separate experiences: Personal ClickSabi and ClickSabi Pro.

Personal ClickSabi may support activities such as analyzing proposals and contracts, comparing options, reviewing company information, modelling costs and returns, asking AI-assisted questions, and managing project-related information.

ClickSabi Pro may support activities such as customer and contact management, conversations, solar design, proposals, project delivery, scheduling, documents, payments, analytics, automations, and collaboration with customers on projects.

These descriptions are representative, not exhaustive. Features vary by experience, plan, add-on and configuration, and may change over time.

3. Accounts and eligibility

You must provide accurate registration information and keep it up to date. You are responsible for safeguarding your credentials and for activity carried out under your account. You must be legally able to enter into these Terms in your jurisdiction.

Personal ClickSabi and ClickSabi Pro are separate account experiences. A Personal account does not automatically become a Pro account, and access to one does not grant access to the other. Access to ClickSabi Pro depends on a provider organization workspace, workspace membership, assigned role and resource scope, and applicable product entitlements.

4. Personal ClickSabi

Personal ClickSabi is currently free. AI-assisted features and personal document storage are subject to fair-use limits designed to protect the Service from abuse and automated workloads while remaining invisible to normal individual use. The current limits per allowance period per Personal account are 3 proposal analyses, 3 contract analyses, 10 AI Advisor messages and 10 stored documents. Documents shared with you by a provider do not count towards your storage allowance.

If you reach a limit, the affected features are temporarily limited until the period resets, and you can contact us to ask about a higher limit. We may adjust these limits over time and will give reasonable notice of material changes through the Service or by email. Sharing a Personal account across multiple people, using the Service for automated bulk processing, or any usage pattern intended to evade these limits is not permitted and may lead to suspension under section 14.

5. ClickSabi Pro and provider organizations

ClickSabi Pro is used through a workspace operated by a provider organization. A provider organization may invite team members to its workspace and assign roles that determine what each team member can access and do. The provider organization is responsible for managing its authorized workspace members, their access and their activity in the workspace.

A provider remains responsible for its own business, including its customer relationships, the information it enters or uploads, the communications it sends, the project decisions it makes, the services it delivers, and the team members it authorizes. ClickSabi provides software. ClickSabi does not design, sell, install, finance, inspect, commission or service any solar system, and is not a party to the agreement between a provider and its customer.

6. Connected relationships and shared information

A customer and a provider may form a connected relationship inside ClickSabi. Connecting does not open one account to the other. The accounts remain separate, and neither party receives unrestricted access to the other's account or workspace.

Information crosses a connected relationship only according to the sharing controls, permissions and project or customer workflows implemented in the Service. Some project information may be visible to both connected parties, while other information remains private to the relevant account or workspace. The two experiences are purpose-built and are not identical views of the same interface.

7. User and provider content

"Content" includes information created, entered, uploaded or submitted through the Service by a Personal user or by a provider organization and its team members. This may include documents, project information, customer information, messages, and information shared through a connected relationship, together with AI-assisted outputs generated from that content.

You retain ownership of content you upload, and you grant us a limited licence to host, process and transmit that content solely to operate and support the Service for you and, where applicable, for the connected party the content is shared with. You are responsible for having the rights necessary to submit content and to share it through the Service.

8. Subscriptions, plans and billing

Personal ClickSabi is currently free and is not a paid subscription. ClickSabi Pro may require a paid subscription. Pro plans are offered in the Starter, Growth, Scale and Enterprise family. Depending on the plan and current product configuration, the Service may support monthly billing, annual billing, trial eligibility where applicable, plan limits and optional add-ons. Prices, plan limits and add-on availability are those shown in the current pricing and product configuration at the time of purchase.

Our order process for subscriptions is conducted by Stripe, which acts as Merchant of Record for those orders and handles payment, tax, invoicing, subscription refunds and transaction-level support. Payment, billing, tax, cancellation and refund mechanics for subscriptions are governed by Stripe's consumer terms. Paid subscriptions renew automatically each billing period until cancelled. You can cancel at any time in your account settings. Cancellation stops future renewals, and access continues to the end of the current billing period. Cancellation and refund eligibility is determined by the applicable subscription terms, the current product configuration and mandatory law. See our Refund Policy.

9. Customer project payments and disbursements

Subscription billing and customer solar-project payments are different transactions and are treated separately under these Terms.

ClickSabi Pro may provide workflows through which a provider requests a project-related payment and a customer makes that payment. Payment requests may be associated with a project and a milestone. Where supported, the Service records payment events, which may include payment, refund, reversal and dispute events. Amounts recorded against a project or milestone are referred to as project funds.

A provider may request a disbursement of project funds. ClickSabi reviews the request, an approved disbursement requires explicit administrative execution, and the transfer is completed through the supported payment infrastructure, currently a supported Stripe Connect or Express configuration. Provider disbursement functionality is currently available for providers in Canada and in CAD only. We do not promise that a disbursement request will be approved, or that any transfer will complete within a particular time.

ClickSabi is not a bank, a trust company, a custodian or a money transmitter, and does not hold funds in that capacity. Payment processing is provided by Stripe under Stripe's own terms.

A customer's project payment is not a purchase of a ClickSabi subscription, and any ClickSabi subscription refund policy does not govern project payments. ClickSabi provides workflow and payment infrastructure and may record refund, reversal and dispute events. ClickSabi does not determine whether a customer is legally entitled to a refund from a provider. Refund entitlement for a solar project is a matter between the customer and the provider under their own agreement and applicable law.

10. AI features, analysis and automations

The Service includes AI-assisted functionality in both Personal ClickSabi and ClickSabi Pro. AI-generated or AI-assisted outputs, including analyses, summaries, suggestions and generated text, may be incomplete or inaccurate, and may be based on incomplete or incorrect inputs. You remain responsible for reviewing information that is relevant to your decisions and for verifying it before relying on it. AI outputs are not guaranteed to be correct.

ClickSabi Pro allows users to configure automations. Depending on how an automation is configured, approval modes may include automatic execution, so not every automated action requires manual approval. Automation activity may have a traceable run and event history. Automations act on the configuration chosen by the provider organization. ClickSabi does not independently choose a provider's business actions.

11. Acceptable use

You agree not to: (a) use the Service unlawfully or for fraud, spam or harassment; (b) infringe any third party's intellectual property or privacy rights; (c) upload malware or attempt to probe, scan or breach the security of the Service; (d) scrape, reverse engineer, resell or redistribute the Service; or (e) circumvent technical or usage limits.

These obligations apply to Personal users, to provider organizations and to every team member a provider organization authorizes. They apply to information you upload, customer information you enter, communications you send through the Service, automations you configure, and information shared through a connected relationship.

12. Intellectual property

ClickSabi Inc. and its licensors retain all right, title and interest in and to the Service, including its software, models, documentation and branding. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms and your plan. You retain ownership of content you upload, as described in section 7.

13. Information, professional boundaries and accuracy

ClickSabi provides software, analysis, information and workflow tools. It does not itself provide legal advice, financial advice, tax advice, professional engineering certification or provider certification, unless a specific separately identified service expressly states otherwise. ClickSabi is not a law firm.

Solar design and engineering-related outputs are software-generated aids for planning and discussion. They are not professional engineering certification, stamped drawings, or a substitute for review by a qualified professional or by the authority having jurisdiction. Company information shown in the Service is not certification, accreditation or endorsement of a provider.

We do not guarantee savings, return on investment, system performance, project completion, provider performance or regulatory approval.

14. Suspension and termination

We may suspend or terminate access for: (a) material breach of these Terms, (b) non-payment, (c) security or fraud risk, or (d) repeated or serious policy violations. Suspension or termination may apply to a Personal account, a Pro account, a provider organization's workspace, or an individual team member's access, depending on the circumstances.

You may terminate by closing your account. A provider organization may remove a team member's access at any time. On termination, the right to use the Service ends. We will provide a reasonable export window for your data where feasible, after which data may be deleted in accordance with our Privacy Notice. Some records, including financial and transaction records, may be retained where required for legal obligations, dispute handling or recordkeeping.

15. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or that any defect will be corrected.

16. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid for the Service in the 12 months before the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special or punitive damages, including loss of profits, data or goodwill. Nothing in these Terms limits liability for fraud, death or personal injury where such limitation is not permitted by law.

17. Changes to the Service or these Terms

We may change, add or remove features of the Service. We may also update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.

18. Governing law

These Terms are governed by the laws applicable at ClickSabi Inc.'s place of incorporation, without regard to conflict-of-law rules. Disputes will be resolved in the competent courts of that jurisdiction, except where mandatory local consumer law provides otherwise.
