Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and ClickSabi Inc. ("ClickSabi Inc.", "we", "us"), operator of the ClickSabi platform ("ClickSabi", the "Service"). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you confirm you have authority to bind that organisation.
The Service
ClickSabi provides AI-powered contract intelligence tools, including contract analysis, risk analysis, an AI advisor, document storage, alerts, and related features. ClickSabi provides educational insights and is not a law firm; the Service is not a substitute for professional legal, financial, or tax advice.
Accounts
You must provide accurate registration information and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account.
Acceptable use
You agree not to: (a) use the Service unlawfully or for fraud, spam, or harassment; (b) infringe any third party's intellectual property or privacy rights; (c) upload malware or attempt to probe, scan, or breach the security of the Service; (d) scrape, reverse engineer, resell, or redistribute the Service; or (e) circumvent technical or usage limits.
Fair use (Plus plan)
Plus plan features described as "unlimited" are subject to fair-use soft caps designed to protect the Service from abuse and automated workloads while staying invisible to normal use by individual homeowners and small businesses. The current fair-use caps are 100 contract analyses and 1,000 AI Advisor messages per rolling 30-day period per account. If you reach a cap, affected features will be temporarily limited until the rolling window resets, and you can contact us to request a higher limit. We may adjust these caps over time and will give reasonable notice of material changes through the Service or by email. Sharing an account across multiple people, using the Service for automated bulk processing, or any usage pattern intended to evade these caps is not permitted and may result in suspension under "Suspension and termination" below.
Payments, subscriptions, and Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Checkout Buyer Terms. Paid subscriptions renew automatically each billing period until cancelled. You can cancel at any time through your account settings or via paddle.net; cancellation stops future renewals and access continues to the end of the current billing period. Intellectual property
ClickSabi Inc. and its licensors retain all right, title, and interest in and to the Service, including its software, models, documentation, and branding. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms and your plan. You retain ownership of content you upload, and you grant us a limited license to host and process that content solely to operate the Service for you.
AI outputs and accuracy
Outputs generated by the Service may be incomplete or inaccurate. You are responsible for reviewing outputs before relying on them and for verifying that you have the rights to any content you submit. The Service is not intended for use in regulated professional decision-making without independent professional oversight.
Service level and warranty disclaimer
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or that any defect will be corrected.
Limitation of liability
To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid to Paddle for the Service in the 12 months before the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury where such limitation is not permitted by law.
Suspension and termination
We may suspend or terminate your access for: (a) material breach of these Terms, (b) non-payment, (c) security or fraud risk, or (d) repeated or serious policy violations. You may terminate by closing your account. On termination, your right to use the Service ends; we will provide a reasonable export window for your data where feasible, after which data may be deleted in accordance with our Privacy Notice.
Changes
We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.
Governing law
These Terms are governed by the laws applicable at ClickSabi Inc.'s place of incorporation, without regard to conflict-of-law rules. Disputes will be resolved in the competent courts of that jurisdiction, except where mandatory local consumer law provides otherwise.
